All projects begin with a formal agreement outlining scope, deliverables, timeline, and pricing. Changes to project scope must be documented in writing and may result in adjusted pricing and timelines.

4. Payment Terms

  • Invoices are payable within 14 days of issuance unless otherwise agreed.
  • Late payments may incur a 1.5% monthly interest charge.
  • Work may be suspended if payment is overdue by more than 30 days.
  • All prices are quoted in Euros (EUR) and include applicable taxes unless stated otherwise.

5. Intellectual Property

Upon full payment, all intellectual property rights for custom-developed code, designs, and content created specifically for your project are transferred to you. nextlayoutlab retains the right to use general methodologies, frameworks, and non-proprietary knowledge gained during the engagement.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives the termination of the service agreement for a period of 3 years.

7. Limitation of Liability

nextlayoutlab's total liability for any claims arising from our services shall not exceed the total amount paid for the specific service giving rise to the claim. We shall not be liable for indirect, incidental, or consequential damages.

8. Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. A 90-day warranty period applies to all delivered work, covering defects in functionality and conformance to specifications.

9. Termination

Either party may terminate the service agreement with 14 days written notice. Upon termination, you will be invoiced for all work completed up to the termination date. Sections regarding confidentiality, intellectual property, and limitation of liability survive termination.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Spain. Any disputes shall be subject to the exclusive jurisdiction of the courts of València, España.
